Terms of Service

These Terms govern your access to and use of Style Driven's website and services. By using either, you agree to them. If you don't, please don't use the services.

You must be at least the age of majority where you live and have the legal capacity to enter into these Terms.

Style Driven sells four things, and these Terms govern all of them.

• Creative Partnership. A fractional CMO seat. Months one to three are $5,000 per month and cover discovery and onboarding, two working sessions a week, and four artifacts: a brand and presence audit, a positioning and messaging document, a channel and distribution plan, and the visual direction the work runs inside. From month four the rate is $10,000 per month on six to twelve month terms and covers the seat, two working sessions a week, and the supporting design work. Scope is direction, strategy, and distribution planning. It does not include paid media, ad buying, or performance reporting.
• Agency Partnership. White label production delivered under your brand, or RFP partnership, where rates are agreed before your response goes out, we are named as the production partner for the disciplines we price, and we get first refusal if the bid lands. Being named in a bid is not exclusivity.
• Project work. Scoped one project at a time across design, photography, video, and web and systems. Published starting points are design from $500, web from $1,000, photo from $1,500, and video from $3,000. Creative direction on its own is $250 per hour. Those are floors, not quotes.
• Referral. 5% recurring on partnership revenue for as long as the client stays, and 7% one time on project work and agency white label.

Production is separate from any retainer, quoted per scope and billed at cost. Every engagement is scoped in writing before it starts. We may decline requests that are unlawful, defamatory, or infringing.

Partnership retainers are billed monthly in advance, in US dollars, on the same date each month. The first three months run month to month. From month four the term is six to twelve months, agreed in writing before it starts, and either side can decline to renew at the end of it.

Project work and agency production are billed per the scope document for that project. Production booked alongside a partnership is quoted and approved before it starts and is billed separately from the retainer.

Referral commission is paid on revenue we have collected, after the client pays us.

If a payment fails, we will let you know and retry. If it is still unresolved after 7 days, we may pause work until it is settled. We may change pricing with at least 90 days' written notice before your next cycle; if you do not agree, you can end the engagement before it takes effect.

We do not issue partial refunds for a period already worked.

Ownership. Once you've given final approval on a deliverable and your account is paid up, the final design files we create for you are yours. Use them anywhere, forever: ads, social, print, web, email, decks, internal materials. No per-use fees, no expiration.

Limits. You can't resell or redistribute the work as standalone files or as part of a template or stock-asset library, and you can't claim you created it. Any third-party assets inside your files, like stock photos and licensed fonts, stay under their own licenses; owning the design doesn't transfer those.

Our portfolio. We keep the right to show completed work in our portfolio, case studies, and social. If a project needs to stay private, tell us in writing before we start and we'll work with you.

Before approval. Work we haven't delivered and you haven't approved, along with our own tools, systems, site, and trademarks, remain ours.

You agree not to:

• Use the services for anything unlawful or in any way that breaks these Terms.
• Try to gain unauthorized access to any part of the services, accounts, or connected networks.
• Reverse engineer or extract source code, except where the law allows it regardless.
• Interfere with, disrupt, or put an unreasonable load on the services.
• Use scrapers, bots, or crawlers to access the services without our written permission.

If your use requires an account, you're responsible for keeping your credentials confidential and for activity under your account. Tell us right away if you suspect unauthorized use.

Our services may rely on or connect to third-party platforms. Your use of those is governed by their own terms and privacy policies. We're not responsible for their availability, content, or practices.

The services are provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement. We don't warrant that the services will be uninterrupted, error-free, or perfectly secure.

To the fullest extent the law allows, Style Driven isn't liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total liability for any claim arising from these Terms or the services is limited to what you paid us in the 12 months before the claim.

You agree to indemnify and hold harmless Style Driven and its team and partners from any claim, loss, or expense (including reasonable legal fees) arising from your use of the services or your breach of these Terms.

We both agree to try to resolve any dispute by talking first. Either side can start by sending a written description of the issue to the other's contact email, and we'll negotiate in good faith for at least 30 days before any formal action. If that doesn't resolve it, the dispute goes to the courts of the State of North Carolina, USA.

We may suspend or end your access if we believe you've broken these Terms or if continuing would harm us or other clients. You can stop using the services at any time.

We may update these Terms. When we do, we'll change the effective date at the top, and continued use means you accept the update.

These Terms are governed by the laws of the State of North Carolina, USA, without regard to conflict-of-laws rules. Disputes are resolved in the State of North Carolina, USA courts.
